Özet

6098 Sayılı Türk Borçlar Kanunu’nun yürürlüğe girmesiyle birlikte Türk Hukukunda önemi artan konulardan biri de genel işlem koşullarıdır. Türk Borçlar Kanunu md.20’de genel işlem koşulları; bir sözleşme yapılırken düzenleyenin, ileride çok sayıdaki benzer sözleşmede kullanmak amacıyla, önceden, tek başına hazırlayarak karşı tarafa sunduğu sözleşme hükümleri olarak tanımlanmıştır.

Genel işlem koşullarının denetimi üç farklı aşamada gerçekleştirilmektedir. Bu aşamalar sırasıyla yürürlük denetimi, yorum denetimi ve son olarak da içerik denetimidir. Bu kapsamda genel işlem koşulları yönünden yürürlük ve yorum denetimini geçen sözleşme hükümleri için yapılacak en son denetimi içerik denetimi oluşturur. Bu yönüyle de genel işlem koşullarının denetim aşamalarından en önemlisini oluşturmaktadır. İçerik denetimine ilişkin temel düzenlemeyi oluşturan Türk Borçlar Kanunu md.25’e göre, genel işlem koşulu niteliğindeki sözleşme hükümlerine dürüstlük kuralına aykırı olarak, karşı taraf aleyhine veya onun durumunu ağırlaştırıcı nitelik hükümler konulması yasaklanmıştır.

Genel işlem koşullarının içerik denetimi birtakım ölçütler göz önüne alınarak yapılmaktadır. Bu ölçütleri genel olarak ise mevcut hukukî düzenlemeler, sözleşmeden doğan en uygun hak ve borç dağılımı ve saydamlık kuralı şeklinde sıralamak mümkündür. Bununla birlikte, taraflar arasındaki denge tespit edilirken en nihayetinde dürüstlük kuralına göre bir değerlendirme yapılarak mesele çözümlenmelidir. Bunun sebebi, bir genel işlem koşulunun kötüye kullanılabilir bir şart olarak değerlendirilebilmesi için sözleşmeden doğan hak ve yükümlülüklerinin dağılımında önemli ve haksız bir oransızlığa sebebiyet vermesi gerektiği düşüncesidir.

Genel işlem koşullarının içerik denetimi taraflar arasındaki hak ve borçların dağılımında önemli bir denge unsurudur. Ancak yine de bu denetimin de birtakım sınırları bulunmaktadır. Bu kapsamda, mevcut yasal düzenlemeleri tekrarlayan veyahut da edim ya da karşı edimi belirleyen genel işlem koşulları kural olarak içerik denetimine tabi olmaz.

Genel işlem koşullarının içerik denetiminin yapılması ve dürüstlük kuralına aykırılık teşkil etmesi haline ne gibi bir yaptırımın uygulanacağı tartışmalıdır. Zira Türk Borçlar Kanunu md.25 hükmü bu hususta hangi yaptırımın uygulanacağını açıkça zikretmemiştir. Bununla birlikte, kanaatimiz, dürüstlük kuralına aykırı olan genel işlem koşullarının Türk Borçlar Kanunu md. 27 kapsamında kesin hükümsüzlük yaptırımına tabi olacağıdır.

Upon the entry into force of the Turkish Code of Obligations No. 6098, one of the topics that has become more important in Turkish Law is the standardized terms. In article 20 of the Turkish Code of Obligations; the standardized terms is defined as the contract provisions that the issuer prepares alone and presents to the other party while concluding a contract, in order to use it in many similar contracts in the future.

The control of general trading conditions is carried out in three different stages. These stages are respectively; validity control, interpretation control and finally content control. In this context, the final control to be made for the provisions of the contract that has passed the validity and interpretation controls in terms of general transaction conditions is the content control. In this respect, it constitutes the most important of the audit stages of the standardized terms. According to article 25 of the Turkish Code of Obligations, which constitutes the basic regulation regarding content control, it is prohibited to include provisions that are against the other party or worsen the situation of the other party as opposed to the rule of good faith.

Content control of standardized terms is carried out şn accordance with some criteria. In general, these criteria can be listed as the current legal regulations, the most appropriate contractual rights and debt distribution, and the transparency rule. However, while determining the balance between the parties, the issue should be resolved by making an evaluation according to the good faith. The reason for this is the thought that in order for a standardized term to be considered as an abuseable condition, it must cause a significant and unfair disproportion in the distribution of the rights and obligations arising from the contract.

Content control of the standardized terms is an important balancing factor in the distribution of rights and obligations between the parties. However, this control has some limitations. In this context, standardized terms that repeat the existing legal regulations or determine the performance or counter-performance are not subject to content control as a rule.

It is controversial what kind of sanction will be applied if the standardized terms are subject to content control and breach of the good faith. Because the provision of the Turkish Code of Obligations Art. 25 did not clearly mention which sanction will be applied in this regard. However, in our opinion, the standardized terms which are contrary to the rule of good faith, are in accordance with the Turkish Code of Obligations Art. 27 and they will be subject to the sanction of absolute nullity.
